• Events

Million Minds is not:

• A broker-dealer
• A financial institution
• An investment advisor
• A crowdfunding portal
• A securities marketplace

The Platform does not facilitate the transfer of money, investments, or financial transactions between users.

Access to the Platform may require:

• An invite code;
• An approved application;
• Account registration.

You are responsible for maintaining the confidentiality of your account credentials and all activities conducted under your account.

You agree not to:

• Share accounts;
• Use false identities;
• Impersonate individuals or organizations;
• Circumvent access controls or invite systems.

Users may create, upload, or share content including:

• Posts
• Comments
• Messages
• Opportunities
• Projects
• Pools
• Documents
• Media

You retain ownership of your content.

By submitting content, you grant Million Minds a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and operate such content solely for the purpose of providing and improving the Platform.

You represent that:

• You own or have rights to the content;
• The content does not violate laws or third-party rights;
• The content complies with these Terms.

Million Minds provides messaging functionality to facilitate professional networking.

Private messages are intended to remain private between users.

Million Minds does not routinely monitor private messages.

However, we reserve the right to access, review, preserve, or disclose message content when reasonably necessary to:

• Investigate user reports;
• Prevent fraud, scams, or abuse;
• Investigate harassment or misconduct;
• Enforce these Terms;
• Protect users or the Platform;
• Comply with legal obligations.

Users should not assume private communications are inaccessible under all circumstances.

Million Minds may, at its discretion, review users, organizations, opportunities, projects, or related information submitted to the Platform.

Verification may include review of:

• Business documentation
• Company registrations
• Professional credentials
• Opportunity details
• Supporting materials

Certain opportunities may receive a "Verified Opportunity" designation when they have been sourced, reviewed, or approved directly by Million Minds.

Other designations may include, but are not limited to:

• Identity Verified
• Organization Verified
• Documentation Verified
• Reviewed by Million Minds
• Featured

Verification or review reflects Million Minds' internal review processes and is limited to the information available at the time of review.

Verification does not constitute:

• Financial advice
• Investment advice
• An endorsement
• A certification
• A guarantee of legitimacy
• A guarantee of safety
• A guarantee of financial performance or outcomes

Users remain solely responsible for conducting their own due diligence.

You agree not to:

• Engage in fraud or scams;
• Misrepresent opportunities;
• Post misleading information;
• Harass or threaten users;
• Violate laws or regulations;
• Infringe intellectual property rights;
• Send spam or unsolicited communications;
• Circumvent security features;
• Manipulate engagement metrics;
• Impersonate individuals or organizations.

Million Minds reserves the right to remove content or restrict accounts at its discretion.

Users may discuss opportunities, projects, fundraising efforts, and investments.

Million Minds does not guarantee:

• Accuracy of information;
• Legitimacy of users;
• Business performance;
• Investment returns;
• Outcomes of relationships or transactions.

All decisions and agreements made between users are solely their responsibility and occur at their own risk.

Nothing on the Platform constitutes:

• Financial advice
• Investment advice
• Legal advice
• Tax advice
• Professional advice

Users should consult qualified professionals before making business or investment decisions.

Users may report:

• Content
• Users
• Opportunities
• Messages
• Conversations

Million Minds may:

• Investigate reports;
• Remove content;
• Restrict functionality;
• Suspend accounts;
• Permanently terminate accounts.

Action may be taken with or without notice when necessary to protect the Platform or its users.

The Platform, including its software, branding, design, logos, and proprietary content, is owned by Million Minds Technologies Inc. and protected by intellectual property laws.

You may not:

• Copy;
• Modify;
• Reverse engineer;
• Distribute;
• Commercialize

any portion of the Platform without written permission.

"Million Minds" and related branding are the property of Million Minds Technologies Inc.

Million Minds strives to maintain reliable services but does not guarantee uninterrupted or error-free operation.

We reserve the right to:

• Modify features;
• Suspend services;
• Remove functionality;
• Discontinue portions of the Platform.

Million Minds may suspend or terminate accounts for reasons including:

• Violations of these Terms;
• Fraudulent activity;
• Illegal conduct;
• Abuse of the Platform;
• Threats to safety;
• Misuse of verification systems.

Termination may occur with or without notice where legally permitted.

The Platform is provided "as is" and "as available."

To the fullest extent permitted by law, Million Minds disclaims all warranties, express or implied, including:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Availability or reliability.

Million Minds does not guarantee the accuracy or completeness of user-generated content.

To the fullest extent permitted by law, Million Minds Technologies Inc., its officers, directors, employees, and affiliates shall not be liable for:

• Indirect damages;
• Consequential damages;
• Lost profits;
• Lost data;
• Business losses;
• Investment losses;
• Reliance on opportunities or user content.

Your use of the Platform is at your own risk.

You agree to indemnify and hold harmless Million Minds Technologies Inc. from claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Platform;
• Your content;
• Violations of these Terms;
• Violations of applicable laws.

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

Million Minds may modify these Terms from time to time.

Updated Terms become effective upon posting to the Platform.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
